Terms of Service

1. Acceptance of Terms

By accessing or using DSR Matrix RetailFlow (the "Service"), provided by DSR MATRIX (dsrmatrix.com), you agree to be bound by these Terms. If you do not agree to these terms, you may not use the service.

2. Payment & Annual Software License Renewal

Store activation requires an annual software license payment of ₹6,999 INR (or $89 USD internationally), which includes all core features (POS, Inventory, GST & CA Tally Station, KDS, Barcode, Multi-Branch, WhatsApp receipts) and the full AI Business Advisor by default.

• India 1st Year Software License: ₹6,999 (via Razorpay — UPI, Card, Net Banking)
• International 1st Year Software License: $99 USD (via PayPal)
• Subsequent Annual Server Renewal: Locked at strictly ₹2,499/year (~₹208/month) for India ($29 USD internationally) covering continuous dedicated PostgreSQL cloud database hosting, high-speed backup servers, statutory GST tax rate updates, and server infrastructure.

Your renewal price is locked upon signup and will never be increased for the lifetime of your account.

3. Data Ownership & Privacy

Your Data belongs to You. All business records, sales data, customer lists, and inventory information remain your exclusive property.DSR MATRIX (dsrmatrix.com) acts only as a custodian of this data.

We implement strict isolation between stores. No other store or user can access your data. We do not sell, rent, or share your business data with any third parties for marketing purposes.

4. Professional Conduct & Abuse

You agree to use the Service for lawful business purposes only. Any attempt to hack, reverse-engineer, or circumvent the security isolation of the Service will result in immediate termination without refund.

5. Limitation of Liability

While we strive for 100% reliability, the Service is provided "as is." DSR MATRIX (dsrmatrix.com) shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from the use or inability to use the Service.

6. Termination & Data Retention

You may stop using the service at any time. If you request account deletion, we will hold your data for a grace period of 30 days to allow for export, after which it may be permanently deleted from our servers.

Account & Data Preservation: Your store database schema, historical ledger, customer accounts, and tax records remain permanently preserved and accessible upon timely annual server renewal at the locked rate of ₹2,499/year.

7. Payment & Financial Responsibility

Subscription payments are processed through secure, third-party gateways (Razorpay for India; PayPal for international).DSR Matrix RetailFlow does not capture, store, or have access to your full credit card or banking information.

Users are responsible for ensuring they have sufficient funds and for the accuracy of the payment information provided to the third-party processor.

8. Serverless Infrastructure & Multi-Tenant Schema Security

DSR Matrix RetailFlow is 100% hosted on a secure global Serverless Edge Network utilizing edge compute instances and serverless PostgreSQL Database clusters.

We implement Multi-Tenant Schema Isolation. Every store operates in its own dedicated, isolated PostgreSQL database schema. Your business records, sales history, customer data, and inventory are strictly segregated and protected with enterprise-grade encryption.

9. Strictly Non-Refundable Digital Service & Evidentiary Delivery Proof

The annual subscription and software license fees (₹6,999/yr or $89/yr) are strictly final and non-refundable upon payment. Merchants are provided with open access to the interactive live demo platform to inspect, test, and evaluate all features (POS billing, catalog, barcode scanners, GST tax reports, staff access, and KDS) prior to purchase.

Admissible Legal Proof of Service Delivery: Every user login, IP address, user-agent, POS invoice generation, staff mutation, and schema allocation event is cryptographically timestamped and immutably recorded in the cloud PostgreSQL Audit Log database. Under the Indian Information Technology Act (2000) and global commercial arbitration conventions, these electronic logs constitute conclusive, legally binding evidence of active digital service delivery, barring any claims of “unauthorized charge,” “wrong payment,” or “service not received.”

10. Anti-Chargeback & Account Lien Indemnity

Merchants agree not to initiate bank chargebacks, dispute complaints, or payment reversals claiming incorrect or unauthorized transactions after having purchased and utilized their cloud store access.

In the event that a merchant initiates an illegitimate bank chargeback or dispute causing a financial lien or penalty on DSR Matrix RetailFlow's merchant banking facilities, the customer's cloud store database schema shall be immediately terminated, and the customer agrees to fully indemnify DSR Matrix RetailFlow for the full subscription fee, applicable banking penalty fees, and 18% per annum statutory interest alongside legal recovery expenses.

11. Network Connectivity & Offline POS Queueing Policy

DSR Matrix RetailFlow is an enterprise cloud application connected to dedicated Azure PostgreSQL database instances. User authentication, catalog synchronization, daily register closing, and GST reporting mandate an active internet connection.

To safeguard retail merchants during power outages or broadband dropouts, the POS interface incorporates a client-side offline queueing buffer. Offline sales are stored locally in device storage and require an active internet connection to synchronize into the central database. Merchants acknowledge that maintaining reliable internet connectivity is their operational responsibility for live cloud reconciliation.

12. Referral Program Anti-Fraud, Hold Period & Clawback

The ₹1,000 INR (or $15 USD equivalent) referral reward is earned solely upon verified, cleared payment of a paid 1-year subscription (₹6,999 / $89). Free trial signups, demo sessions, or unpaid registrations strictly do not qualify.

• 30-Day Fraud Prevention Clearing Window: Referral commissions enter a 30-day clearing window before bank withdrawal to ensure the paid transaction clears all bank reconciliation without chargeback or dispute.
• Clawback & Chargeback Indemnity: If a referred customer attempts a credit card chargeback, payment dispute, or fraudulent refund claim, any accrued referral reward is immediately cancelled and clawbacked from the affiliate.
• Zero Self-Referral Tolerance: Referring one's own store, using temporary emails, duplicate phone numbers, or synthetic PAN details results in immediate termination and permanent forfeiture of commissions.

13. GST & Statutory Tax Compliance Disclaimer

DSR Matrix RetailFlow is an electronic point-of-sale, inventory bookkeeping, and billing application. All tax calculations, HSN/SAC codes, CGST, SGST, IGST, and cess values are derived strictly from the tax rates, item classifications, and transactions inputted and configured by the Merchant.

Merchant Statutory Responsibility: DSR MATRIX (dsrmatrix.com) and DSR Matrix RetailFlow do not provide chartered accountancy, legal, or statutory tax advice. The Merchant remains exclusively and solely responsible for verifying the accuracy of tax rates, ensuring statutory invoicing compliance under the Central Goods and Services Tax (CGST) Act, 2017, State GST Acts, and filing timely and accurate returns (GSTR-1, GSTR-3B, GSTR-9) with the Goods and Services Tax Network (GSTN) or relevant international tax authority.

14. AI Business Advisor & Algorithmic Insights Disclaimer

The AI Business Advisor and smart sales intelligence tools utilize statistical algorithms and third-party Large Language Models (including Google Gemini AI) to compute sales velocity trends, dead stock indicators, pricing recommendations, and inventory suggestions based on historical data.

Advisory Nature of AI Outputs: All AI-generated analyses, forecasts, and suggestions are strictly computational estimations provided solely for internal business planning and informational purposes. They do not constitute certified financial, accounting, investment, or commercial advice. DSR MATRIX (dsrmatrix.com) disclaims all liability for commercial decisions, purchase order quantities, supplier commitments, pricing changes, or inventory write-offs made in reliance upon AI-generated suggestions.

15. Peripheral Hardware & Local Printer Disclaimer

The software supports industry-standard peripheral hardware, including ESC/POS thermal receipt printers (80mm and 58mm), USB and Bluetooth barcode scanners, cash drawers, and customer-facing displays.

DSR MATRIX (dsrmatrix.com) does not manufacture or sell physical hardware and disclaims liability for local operating system driver issues, local browser print spooler delays, third-party printer firmware incompatibilities, or hardware wear-and-tear.

16. Governing Law & Exclusive Jurisdiction

These Terms, all transactions conducted through the Service, and any disputes, claims, or controversies arising out of or related to the Service shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.

The Merchant irrevocably agrees that any legal suit, action, arbitration, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the competent courts located in Hyderabad, Telangana, India, and the Merchant hereby waives any objection to personal jurisdiction or forum non conveniens.

17. Official Invoices & Digital Receipts

Upon successful payment via Razorpay or PayPal, an official GST-compliant tax invoice is instantly generated and accessible under the Billing dashboard. This serves as your legal tax invoice and verifiable receipt.
